GENERAL TERMS AND CONDITIONS – International Medical Transport, Air Escort Mission

Introduction

Bryan Morgan Care BV (BMC) is a fully accredited medical service provider specializing in international patient transport and medical escort services.

Since 2000 BMC operates ambulances in multiple countries. Services range from basic life support (BLS) transports to advanced critical care missions, including MICU and ECMO transports.

Since March 2026, BMC is accredited by IMRAC (International Medical Repatriation Accreditation Council) for a wide range of medical escort services, including psychiatric patients, adult patients, pediatric patients, neonatal care with incubator, commercial stretcher transport, and ventilated patient transport on commercial flights.

BMC operates globally and is capable of managing both standard and highly complex medical repatriation missions, including operations in high-risk and remote environments.

1. Definitions and Scope

1.1. “BMC” refers to Bryan Morgan Care BV, including but not limited to its directors, employees, subcontractors, freelancers, medical personnel, and any third parties acting on its behalf in the execution of services.

1.2. “Client” refers to any contracting party, including but not limited to insurance companies, assistance companies, brokers, institutions, corporate entities, or private individuals who request, approve, or financially guarantee the services provided by BMC.

1.3. “Patient” refers to the individual receiving medical escort services or any form of medical-related transport coordinated or executed by BMC.

1.4. These Terms and Conditions apply to all services provided by BMC, including but not limited to medical escort services, coordination of patient transport, booking of flights, arrangement of ground transportation, accommodation, and any ancillary logistical services.

1.5. By requesting, approving, or making use of BMC services, the Client confirms that they have read, understood, and fully accepted these Terms and Conditions in their entirety, regardless of the manner in which these Terms were communicated or provided.

2. Nature of Services

2.1. BMC provides medical escort services on commercial and private aircraft. Services range from basic life support (BLS) to advanced critical care transport, including but not limited to ventilated transport, neonatal and incubator transport, subject to operational feasibility and case-specific assessment.

2.2. BMC combines medical expertise with operational coordination to deliver safe, efficient, and globally executable patient transport solutions, including in complex and high-risk environments where feasible.

2.3. All services are provided on a best-effort basis, taking into account operational limitations, airline regulations, airport procedures, international laws, and the medical condition of the patient.

2.4. The Client acknowledges that air travel, airport environments, and international transport inherently limit the level of care that can be provided.

3. Bookings, Confirmations and Cancellations

3.1. Upon confirmation of a booking, BMC is entitled to immediately proceed with reservations, including but not limited to airline tickets, hotels, ground transportation, and deployment of medical personnel.

3.2. Once such services have been booked or costs have been incurred, all such costs are fully chargeable and non-refundable in case of cancellation, unless explicitly agreed otherwise in writing by BMC.

3.3. Airline tickets are in most cases non-refundable, non-changeable, or subject to strict airline fare conditions beyond the control of BMC.

3.4. Any refunds from airlines or third-party providers will only be transferred to the Client after such refunds have been received by BMC and after administrative processing.

3.5. BMC shall not be responsible for any delays, refusals, partial refunds, or administrative costs imposed by third parties.

4. Payment Terms

4.1. All invoices issued by BMC are payable within 14 days from the invoice date, unless otherwise agreed in writing.

4.2. For medical escort missions involving upfront expenditures such as airline tickets, hotels, or staffing, BMC reserves the right to request prepayment of 50 percent or more before execution of the mission.

4.3. BMC reserves the right to suspend, delay, or refuse services if payment has not been received or if sufficient financial guarantees have not been provided.

4.4. Late payments may result in interest charges, administrative fees, and recovery costs in accordance with Belgian law.

5. Medical Clearance and Airline Approval

5.1. BMC is dependent on third parties, including airlines, medical institutions, and governmental authorities, for obtaining medical clearance.

5.2. Submission of medical documentation, including MEDIF forms or physician reports, does not guarantee approval, timing, or acceptance by the airline or any authority.

5.3. Airlines retain full discretion to approve, reject, or impose additional requirements on patient transport.

5.4. In cases where airline tickets must be purchased before medical clearance can be requested, and such clearance is subsequently denied, BMC does not guarantee any refund of ticket costs.

5.5. BMC shall not be held liable for any delays, refusals, financial losses, or operational consequences resulting from denied or delayed medical clearance.

6. Costs in Case of Medical Refusal, Cancellation or Aborted Mission

6.1. In the event that medical clearance is refused, the patient is deemed unfit to travel, or the transport cannot proceed for medical, operational, or regulatory reasons, all costs incurred by BMC shall remain fully chargeable.

6.2. These costs include but are not limited to airline tickets, hotel bookings, ground transportation, staff deployment, planning time, communication costs, and any preparatory work undertaken.

6.3. These costs remain payable regardless of whether airline tickets or third-party services are refunded or not.

6.4. In addition to incurred costs, a fixed operational fee of 2500 EUR shall be charged to compensate for planning, coordination, resource allocation, and opportunity cost.

6.5. A detailed breakdown of these costs shall be provided upon invoicing.

7. Force Majeure and Operational Disruptions

7.1. BMC shall not be liable for any delays, cancellations, disruptions, or additional costs caused by circumstances beyond its control.

7.2. Such circumstances include but are not limited to airline decisions, technical failures, weather conditions, strikes, war, terrorism, political instability, or governmental restrictions.

7.3. Any additional costs resulting from such circumstances, including accommodation, meals, rebooking, or transport, shall be borne entirely by the Client.

8. Scope of Medical Escort and Limitations

8.1. BMC provides medical escort services within the limitations of aviation conditions, airline regulations, and operational constraints.

8.2. Continuous or uninterrupted medical care cannot be guaranteed due to mandatory rest periods, flight conditions, airport procedures, and other operational limitations.

8.3. BMC reserves the right to adjust the level of care based on patient condition, safety considerations, and feasibility.

8.4. BMC reserves the absolute right to refuse, suspend, or terminate a mission at any time if it is deemed medically, operationally, or legally unsafe.

8.5. The safety of BMC personnel takes priority at all times. If a situation is considered unsafe, BMC may immediately terminate services without liability.

9. Medical Information and Reliance

9.1. BMC relies entirely on medical information provided by the Client, Patient, or third parties and is entitled to rely on such information without independent verification.

9.2. BMC shall not be held liable for any consequences resulting from incorrect, incomplete, or delayed medical information.

9.3. The Client confirms that all relevant medical information has been disclosed prior to the mission.

10. Risk Acknowledgement and Consent

10.1. The Client and Patient acknowledge that medical transport involves inherent risks, including deterioration of the patient’s condition or unforeseen medical complications.

10.2. BMC will communicate known risks prior to execution of the mission where possible.

10.3. By proceeding with the services, the Client and Patient confirm their understanding and acceptance of these risks and provide informed consent.

10.4. BMC does not guarantee any medical outcome and shall not be considered responsible for stabilization, recovery, or survival of the Patient.

11. Pre-Flight Assessment

11.1. BMC may, upon request and subject to agreement, perform a pre-flight medical assessment of the Patient and provide a written report.

11.2. Such pre-flight assessment is not included as a standard service and will only be performed if explicitly agreed in writing.

11.3. Any assessment performed is based solely on the information available at the time and does not constitute a guarantee of fitness to travel.

11.4. The final responsibility for determining fitness to travel remains with the treating physician and/or the Client.

12. Boarding Refusal and Mission Termination

12.1. In the event of boarding refusal, BMC will make reasonable efforts to resolve the situation.

12.2. If boarding remains denied, including decisions made by airline staff or the aircraft captain, tickets may become invalid.

12.3. The patient may be transferred to airport medical services or a local medical facility.

12.4. If an alternative flight is deemed feasible, BMC may propose a revised travel plan under a new agreement.

12.5. Upon transfer of the patient, the mission shall be considered completed and BMC shall have no further obligations unless otherwise agreed.

13. Ground Transportation Responsibility

13.1. If ground transportation is arranged by the Client or third parties, they are fully responsible for timely delivery of the patient.

13.2. Full details of the transport provider and airport meeting point must be provided at least 24 hours in advance.

13.3. Delays may result in missed flights or boarding refusal, for which BMC bears no responsibility.

13.4. BMC will provide care for a maximum period of 2 hours, where medically appropriate.

13.5. After this period, or if medically necessary, the patient may be transferred to local emergency services or airport medical services.

13.6. Upon such transfer, the mission is considered completed.

14. Multi-Segment Travel

14.1. If a patient becomes unfit to continue travel, BMC will assess the situation for up to 24 hours.

14.2. Rebooking may be attempted where feasible, but is not guaranteed.

14.3. All additional costs are not included in the original quotation and will be charged separately.

14.4. If onward travel is not possible, return travel may also be medically impossible.

15. Death During Transport

15.1. BMC transports living patients only.

15.2. In the event of death during transport, the patient shall be transferred to local authorities at the nearest airport.

15.3. BMC bears no responsibility for repatriation of remains unless explicitly agreed.

16. Baggage, Customs and Personal Effects

16.1. BMC is not responsible for baggage, personal belongings, or their handling.

16.2. All excess baggage costs are the responsibility of the Client.

16.3. The Patient is responsible for compliance with customs regulations and declarations.

17. Hotels and Additional Costs

17.1. Hotel accommodations arranged by BMC include basic lodging only.

17.2. All additional costs, including minibar, room service, smoking penalties, damages, and cleaning fees, shall be borne by the Client.

18. Illegal Activities and Compliance

18.1. If the Patient is detained, investigated, or stopped due to illegal goods, smuggling, invalid documentation, or any unlawful activity, BMC shall immediately terminate the medical escort.

18.2. In such cases, no refunds shall be granted under any circumstances.

19. Liability

19.1. BMC shall not be liable for any direct or indirect damages, including but not limited to medical complications, deterioration of condition, hospitalization, or death.

19.2. In all cases, BMC’s total liability shall be strictly limited to the total amount paid by the Client for the specific mission, or a maximum of 10,000 EUR, whichever is lower.

19.3. The Client agrees to indemnify and hold harmless BMC against any claims, damages, liabilities, or legal actions brought by third parties, including but not limited to family members, insurers, or authorities.

19.4. Nothing in these Terms shall exclude liability in cases of gross negligence or willful misconduct where such limitation is not permitted by law.

20. Insurance

20.1. The Client and/or Patient is strongly advised to obtain appropriate travel insurance and medical insurance.

20.2. BMC shall not be responsible for any costs resulting from the absence or inadequacy of such insurance.

21. Governing Law and Jurisdiction

21.1. These Terms and Conditions are governed exclusively by Belgian law.

21.2. Any disputes shall be exclusively settled before the competent courts of Belgium, and no other jurisdiction shall apply.

22. High-Risk, Conflict and War Zones

22.1. BMC is one of the limited service providers capable of organizing and executing medical escort missions in high-risk environments, including but not limited to regions classified as yellow, orange, or red zones, as well as active conflict zones or war zones.

22.2. Such missions involve significantly increased operational, medical, and security risks, including but not limited to instability, limited infrastructure, restricted access to medical facilities, and rapidly changing local conditions.

22.3. All missions in high-risk or conflict areas shall be assessed strictly on a case-by-case basis. BMC reserves the absolute right to accept, decline, postpone, or modify any such mission at its sole discretion based on safety, feasibility, and available resources.

22.4. Execution of such missions may require coordination with third parties, including but not limited to security providers, local authorities, governmental entities, military organizations, and specialized transport partners.

22.5. BMC may engage armed escorts, private security contractors, or specialized security personnel where deemed necessary for the safety of the patient, personnel, and operation.

22.6. Such security services are provided by independent third-party contractors. BMC shall not be held liable for the actions, omissions, performance, or conduct of such third-party security providers.

22.7. The Client acknowledges that the use of armed escorts or security personnel may involve additional legal, regulatory, and operational constraints depending on the jurisdiction in which the mission is executed.

22.8. Additional insurance coverage, including but not limited to war risk insurance and high-risk operational insurance policies, may be required. The terms, limitations, exclusions, and costs of such insurance will be communicated separately and must be explicitly agreed upon prior to execution.

22.9. Due to the nature of these environments, BMC does not guarantee access, timelines, successful completion of the mission, or the ability to extract the patient under all circumstances.

22.10. The Client acknowledges and accepts that missions in high-risk or conflict zones carry a substantially increased risk of delay, failure, injury, or fatal outcome, and agrees that BMC shall not be held liable for any consequences arising from such risks, except in cases of gross negligence where applicable law does not permit exclusion.

23. Sanctions, Compliance and Legal Restrictions

23.1. BMC operates in full compliance with all applicable international, European Union, and Belgian laws and regulations, including but not limited to sanctions regimes, export controls, and anti-corruption laws.

23.2. BMC shall not be required to provide services, and reserves the absolute right to refuse, suspend, or terminate any mission, if such services would violate or potentially violate any applicable sanctions, laws, or regulations.

23.3. The Client represents and warrants that neither the Client, the Patient, nor any related party is subject to international sanctions, restricted party listings, or governmental prohibitions.

23.4. The Client agrees to provide all necessary documentation and information required to comply with applicable laws, including but not limited to identity verification, travel documentation, and source of funds where required.

23.5. BMC shall not be held liable for any delays, cancellations, refusals, or consequences resulting from compliance with legal or regulatory obligations, including sanctions screening or governmental restrictions.

23.6. Any costs incurred as a result of compliance requirements, including but not limited to delays, rerouting, cancellations, or additional administrative procedures, shall be borne entirely by the Client.

23.7. If at any point during the mission it is determined that continuing the operation would breach applicable laws or sanctions, BMC reserves the right to immediately terminate the mission without liability and without obligation to provide alternative solutions.

24. Additional Passengers

24.1. Any additional passengers accompanying the Patient, including but not limited to family members, companions, or non-medical escorts, shall be considered separate from the medical escort service provided by BMC.

24.2. BMC shall not be responsible for the supervision, behavior, safety, medical condition, or personal belongings of any additional passengers.

24.3. All costs related to additional passengers, including but not limited to tickets, baggage, accommodation, and any additional services, shall be the sole responsibility of the Client or the respective passenger.

24.4. Additional passengers must comply with all airline regulations, local laws, and instructions provided by BMC personnel at all times.

25. Conduct and Behavior

25.1. The Patient, Client, and any accompanying passengers are required to behave in a respectful and appropriate manner towards BMC personnel, airline staff, airport staff, and other passengers at all times.

25.2. Any form of disruptive, aggressive, inappropriate, or unsafe behavior may result in immediate consequences, including but not limited to refusal of service, removal from the aircraft, or involvement of authorities.

25.3. BMC shall not be held liable for any consequences resulting from such behavior, including denied boarding, removal from the aircraft, or additional costs incurred.

25.4. The consumption of alcohol is subject to local laws and airline regulations and is strongly discouraged before, during, and immediately after the flight.

25.5. Any refusal of boarding, removal from a flight, or other consequences due to intoxication shall be the sole responsibility of the Patient and/or accompanying passengers.

26. Severability

26.1. If any provision of these Terms and Conditions is found to be invalid, unlawful, or unenforceable, such provision shall be deemed severed from the remaining Terms.

26.2. The validity and enforceability of the remaining provisions shall not be affected and shall remain in full force and effect.

27. Entire Agreement and No Reliance

27.1. These Terms and Conditions, together with any written quotation or agreement issued by BMC, constitute the entire agreement between BMC and the Client.

27.2. The Client acknowledges that they have not relied on any statements, representations, assurances, or warranties other than those expressly set out in these Terms and Conditions or in a written agreement issued by BMC.

27.3. Any verbal statements, informal communications, or representations made prior to or during the engagement shall not be legally binding unless confirmed in writing by BMC.

27.4. In the event of any conflict between these Terms and Conditions and any other communication, these Terms and Conditions shall prevail unless explicitly agreed otherwise in writing.
